Terms of Service

1. Agreement to terms

These Terms govern your access to and use of Hookcatch, a product of Willowbark Consulting, LLC at 514 Americas Way, #23910, Box Elder SD 57719-7600, USA. By using the service you agree to these Terms and our Privacy Policy.

2. Eligibility and accounts

You must be at least 18 years old and have the authority to bind your organization. You are responsible for your account, credentials, and all activity under your account.

3. Beta and changes

Some parts of the service may be offered as a beta or preview. Features may change. We may modify or discontinue features at any time.

4. Subscriptions and billing

Paid plans are billed in advance on a recurring basis. By upgrading you authorize us and our payment provider to charge your payment method for fees and applicable taxes. Plans renew automatically until canceled.

5. Refunds

You can cancel at any time. Fees already paid are nonrefundable unless required by law. We may issue a pro rata or full refund at our discretion for service outages or errors on our side.

6. Acceptable use

• Do not violate law, third party rights, or send unlawful content.
• Do not attempt to disrupt or bypass our security or rate limits.
• Do not send payment card data, government ID numbers, or protected health information unless your plan and data processing terms expressly allow it.

7. Your content

You retain ownership of your content. You grant us a limited license to process your content for the purpose of providing the service. You represent that you have all rights needed to submit content to the service.

8. Intellectual property

We and our licensors own the service, software, and all related intellectual property. These Terms do not grant you any rights to our trademarks or code except for the limited rights needed to use the service.

9. Feedback

If you provide feedback, you give us a nonexclusive, royalty free right to use it without restriction.

10. Third party services

Integrations and links to third party services are provided for convenience. Their terms and privacy policies apply. We are not responsible for third party services.

11. Confidentiality

Each party may use the other party's confidential information only to perform under these Terms and must protect it with reasonable care.

12. Warranties and disclaimers

The service is provided as is and as available. We disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not guarantee that the service will be uninterrupted or error free.

13. Limitation of liability

To the maximum extent allowed by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business, even if we have been advised of the possibility. Our total liability for any claim is limited to the amounts you paid to us in the 12 months before the event giving rise to the claim.

14. Indemnification

You will defend and indemnify us against third party claims arising from your content or your use of the service in violation of these Terms or law.

15. Suspension and termination

We may suspend or terminate access if you violate these Terms or if required for security or legal reasons. You may cancel at any time. Upon termination, your right to use the service ends and we may delete your content after a reasonable period unless law requires otherwise.

16. Governing law and venue

These Terms are governed by the laws of the State of South Dakota, without regard to its conflicts rules. The exclusive venue for disputes is the state or federal courts located in Pennington County, South Dakota, and both parties consent to personal jurisdiction there.

17. Export and compliance

You must comply with all applicable export control and sanction laws and may not use the service where prohibited.

18. Changes to Terms

We may update these Terms. If changes are material we will provide notice. Continued use after changes means you accept the new Terms.
